2px;'>仙桃法院经审理查明，2023年12月，仙桃某文化传媒有限公司向仙桃市市场监督管理部门申请注销登记时，该公司的4名股东出具了简易注销全体投资人承诺书，载明：“申请注销登记前未发生债权债务/已将债权债务清算完结，不存在未结清清偿费用。”2024年4月，该公司开办的音乐会所关闭门店停止经营。2024年7月，该公司完成注销。</span></p><p style='line-height: 2em;text-indent: 2.23529em;'><span style='font-size: 17px;letter-spacing: 2px;'>法院认为，杨先生在原仙桃某文化传媒有限公司开办的音乐会所预充会费进行消费，</span><span style='font-size: 17px;letter-spacing: 2px;color: #ffffff;text-shadow: rgba(219, 0, 255, 0.5) 0em 0em 0.0995238em, rgba(227, 56, 250, 0.3) 0em 0em 0.147143em;background-color: #cca4e3;'>双方形成服务合同关系，该合同关系不违反法律规定，合法有效，双方均应依约履行。</span><span style='font-size: 17px;letter-spacing: 2px;'>原仙桃某文化传媒有限公司已经在市场监督管理部门办理注销登记，其民事权利义务能力消灭，案涉服务合同在法律上及事实上均无法履行，故该合同应自该日起终止。原仙桃某文化传媒有限公司在办理注销登记前，应依法清偿债务，就本案而言，应当退还杨先生尚未消费的费用。</span><span style='font-size: 2.23529em;'><span style='font-size: 17px;letter-spacing: 2px;'>同时，该案也提醒公司股东，切莫将注销公司作为逃避责任的“护身符”。公司注销前，必须先进行清算，股东在办理公司注销登记时，未将公司债务纳入清算报告内，致使公司注销后仍然存在未了结的债务的，属于未尽到清算责任，应视为未依法清算，</span><strong><span
